Treadstock licence terms

These terms cover your use of Treadstock. They are meant to be read, so they are written plainly. Where a sentence sounds like a lawyer wrote it, that is because it has to be that precise.
"We", "us" means David McConnell, operating as Treadstock, of 52 Shannondoe Crescent, Kanata, Ontario K2M 2H1, Canada. "You" means the business buying the licence.
1. What you are buying
A licence to use Treadstock at one location. A second building needs a second licence.
You may take it either way:
- Outright — $999 CAD, once. Nothing renews. You may keep using that version at that location for as long as you like.
- Monthly — $59 CAD a month. Cancel at any time; see clause 8.
Both include unlimited sets, unlimited staff, and improvements to the software as they are released. Prices are in Canadian dollars and exclude tax.
Moving from monthly to the outright licence. If you decide to buy the licence within the first 12 months of your monthly plan, everything you have paid under it comes off the $999. After 12 months the licence is the full price. There is no refund of monthly payments in either case: what you paid bought you the use of the software in those months, and you had it.
This season, free. Shops set up during the 2026 changeover pay nothing for it. There is no card, no invoice and nothing to cancel, and we cannot charge you because we never took a way to. Everything in these terms applies while you are using it that way, except that clause 1 costs nothing and clause 8 is simply stopping. Nothing renews into a paid plan by itself: if you want to keep it after this season, you tell us, and until you do you owe nothing.
2. What you need to provide
A phone or computer with a browser, and an internet connection for the parts that need one. If you want printed labels you will need a label printer and labels; nothing stops you writing on the tire in chalk instead.
3. Your data is yours
Everything you put into Treadstock — your customers, your sets, your history, your photographs — belongs to you. We claim no ownership of it and no right to use it beyond running the service for you. Specifically, we will not sell it, share it, publish it, use it to train anything, or aggregate it with other shops' data and show the result to anybody, including you. What you charge for storage is your business alone.
How we handle it is set out in the privacy policy and in the data processing agreement, which forms part of this licence.
You can export it at any time, as spreadsheets, without asking us, and you do not need our permission or our continued existence to do so.
4. What you are responsible for
- What you record about your customers, and having a basis to record it
- Telling your customers you use software to track their tires
- Keeping your staff's PINs and your own password to yourself
- The accuracy of what your people type in
Treadstock keeps a permanent record of which of your staff did what. That is how a missing set gets traced, and it is also monitoring of your employees. Some employment laws require a written policy about electronic monitoring — in Ontario, for employers with 25 or more employees. Whether one applies to you is your call to make.
5. What we are responsible for
We will run the service with reasonable care, keep your data as described in the privacy policy, and tell you before we make a change that would take away something you rely on.
We do not promise that the software will be available without interruption. It runs on infrastructure we do not own, and small companies have outages.
What we do promise is that an outage cannot leave you without your records, because the export is yours to run whenever you like and what it produces is yours to keep. Exporting periodically is worth doing for the same reason you would keep a copy of anything else your business depends on.
6. What we do not promise
The software is provided as it is. We do not warrant that it is fit for a particular purpose, that it is free of defects, or that it will meet every need you have. Tire storage is your business and Treadstock is a tool you use to run part of it; it is not a substitute for your own records, your own judgement, or your own insurance.
7. If something goes wrong
If we are liable to you for anything arising out of this licence, our total liability is limited to the amount you have paid us in the twelve months before the claim. We are not liable for lost profits, lost business, or losses that were not reasonably foreseeable.
That limit does not apply to anything the law does not let us limit — including our own fraud, or personal injury caused by our negligence.
This clause is why the price is what it is. If you need a supplier who carries more risk than the fee you paid them, you need a larger supplier.
8. Stopping
Monthly licence. Email us and we will stop it that day. It runs to the end of the month you have already paid for. There is no minimum term, no notice period, no cancellation fee, and nobody will try to talk you out of it. We will not charge you again after you have asked us to stop.
Outright licence. There is nothing to cancel. Nothing renews and nothing is charged again.
After you stop, your records stay reachable for 30 days so you can export them, and we write to you before that window closes. After that we delete them, including photographs. Tell us sooner and we will delete them sooner.
We may end a licence only if you do not pay, if you use the software to break the law, or if you deliberately try to reach another shop's data. If we do, the same 30 days applies.
9. If we stop
Small software companies close. If we decide to stop running Treadstock, we will give you at least 90 days' notice, during which the service keeps running and the export keeps working. We will not switch it off and tell you afterwards.
10. Changes to these terms
We may change these terms for good reason — a change in the law, or a change in how the service works. We will email you at least 30 days before a change that affects you takes effect. If you do not accept it, you may stop under clause 8; if you are on the outright licence and the change is not required by law, you may keep using the version you have under the terms you bought it under.
We will not change the price of a licence you have already paid for.
11. The rest
- Governing law. The laws of Ontario and the laws of Canada that apply there. The courts of Ontario have jurisdiction.
- Whole agreement. These terms, the privacy policy and the data processing agreement are the whole agreement between us and replace anything said beforehand.
- If a clause fails, the rest still stands.
- Transfer. You may transfer your licence if you sell your shop, by telling us. We may transfer this agreement only to someone taking over the whole business, and we will tell you first.
